Mr. Muhlestein advises clients about the nuts and bolts of corporate practice, commercial leases, employment law, compliance, real estate, and is an expert in Tribal gaming.
In corporate practice, Mr. Muhlestein has advised clients on drafting foundational documents, establishing corporate formalities, revising contracts, receiving loans, corporate restructuring, risk analysis, compliance, and company policy. For new clients this often involves assistance with updating records of Board and Stockholder actions and authorizations, stockholder and member rights, and advising on state and federal registrations and licensing. He has also assisted Boards with the issuance of stock, options, net profits interests, and stock splits.
In commercial lease transactions, Mr. Muhlestein has advised both landlords and tenants on leases of commercial real estate, including within commercial condominium complexes. He has also assisted with disputes over, and audits of, common area maintenance expenses.
In employment law, Mr. Muhlestein has advised clients with setting company policy, staying within independent contractor safe harbors, drafting employee handbooks, drafting employee agreements, engaging in accommodation discussions, negotiating severance agreements, and defending against discrimination claims before the EEOC, the court, and in arbitration. He has also assisted executives and employees negotiating their employment agreements, navigating their exit, and resolving discrimination claims.
In compliance, Mr. Muhlestein has assisted clients with submitting investment advisor annual reports to the SEC and successfully navigating an SEC examination, as well as complying with tribal and federal gambling laws and regulations. He has also assisted clients with compliance in many regulated fields, including healthcare, gambling, securities, contests, and more.
In real estate, Mr. Muhlestein has assisted buyers and sellers of residential property, assisted with a 1031 property exchange, worked with title search agents to resolve disputes over clouds on title, drafted deeds, and assisted clients with closings.
Mr. Muhlestein is an expert on Tribal gambling in the United States and has worked with equipment manufacturers to comply with requirements, understand and enter new regulated categories and jurisdictions, apply for and receive tribal and state gambling licenses, and negotiate with Tribal regulators.
Mr. Muhlestein is a member of the Virginia Bar and the Utah Bar.
Background:
Mr. Muhlestein earned his J.D. from the J. Reuben Clark Law School. He graduated from Brigham Young University with a B.A. in English and a minor in Spanish.

Mr. Muhlestein competed on a BYU ballroom dance team and individually in national competitions. He also wishes he still ran cross-country, enjoys discussing classic science fiction, and follows whatever NFL teams former BYU players are on.

Led successful completion of SEC examination and subsequent implementation of recommended changes for an Investment Advisor with over $100 million in assets under management.
